The Board of Directors is responsible for adopting strategies, objectives, budgets, business and investment plans, the accounts, major changes, etc. The Board appoints the President and CEO, Executive Compensation & Capability Committee and Audit Committee and decides on remuneration for the President and CEO.

The Board is responsible for the management of Elekta’s operations. The Board appoints a President and CEO who is responsible for the day-to-day operations in accordance with the Board’s guidelines. The President and CEO keeps the Board informed of significant issues including information about Elekta’s performance, earnings and financial position. Elekta’s Board is appointed by the Annual General Meeting of Shareholders for a period until the end of the next Annual General Meeting of Shareholders. According to the Articles of Association of Elekta AB, the Board is to have between three and ten members with not more than five deputy members. There are no other rules in the Articles of Association concerning the appointment or removal of members of the Board.

Composition of the Board

The Board of Directors currently comprises nine members who were elected by the 2015 Annual General Meeting for the period until the next Annual General Meeting:

Independence of the Board

The composition of the Board meets applicable independence requirements as seven of the nine Board members have been deemed independent in relation to the Company, the management and major shareholders. These seven members are Annika Espander Jansson, Luciano Cattani, Johan Malmquist, Siaou-Sze Lien, Wolfgang Reim, Jan Secher and Birgitta Stymne Göransson.

Delegation of responsibility

The Board’s work is regulated by the Swedish Companies Act, the Articles of Association, the Code and the Working Instructions for the Board of Directors.
The Board is responsible for the organization of Elekta AB and the management of the Company’s operations in the interest of the Company and all shareholders. This includes appointing a President and CEO who is responsible for managing the day-to-day operations in accordance with instructions from the Board. The responsibility for the Board also includes:

  • Establishing overall goal and strategy
  • Ensuring an effective system for follow-up and control of the operations
  • Ensuring a satisfactory process for monitoring the compliance with laws and regulations
  • Defining guidelines to govern the ethical conduct
  • Ensuring that the external information and communications are characterized by openness, and that they are accurate, reliable and relevant

The Working Instructions for the Board of Directors establish that the Board is to:

  • Hold at least seven ordinary meetings per year
  • Adopt finance and foreign exchange policies
  • Adopt Code of Conduct
  • Approve long-term plan and budget, including investment budget
  • Approve investment and similar issues where the amount of the transaction exceeds SEK 5 M if such transaction falls outside the approved investment budget
  • Decide on acquisition or sale of real property or shares, or acquisition or sale of the assets of, or a major part of the assets of, another company
  • Decide on the establishment and liquidation of subsidiaries
  • Adopt guidelines for remuneration to executive management to be approved by the Annual General Meeting of Shareholders
  • Decide on terms of employment for the President and CEO according to guidelines for remuneration to executive management approved by the Annual General Meeting of Shareholders
  • Adopt annual report, year-end report and interim reports


Within the Board, there is no special distribution of responsibilities among the members of the Board in addition to the duties that the Board has delegated to the Executive Compensation and Capability Committee and to the Audit Committee respectively.

Annika Espander Jansson was born in 1964 and holds a BSc in Chemistry from Uppsala University (Sweden)/University of Michigan, Ann Arbor (US) and an MBA in International Business Management from Uppsala University. From 2010 to 2013, she was Chief of Private Banking at Handelsbanken and also Chairman of the Board of SHB Luxembourg; she has previously held executive positions at, among other companies, Catella Healthcare/Esperio AB in Stockholm and at Enskilda Securities

Siaou-sze Lien

Before that, he held various positions within the Getinge group and before joining Getinge in 1990, Johan Malmqvist held several positions within the Electrolux group.
